These Terms of Service ("Terms") govern your access to and use of the websites, programs, coaching services, digital products, and community offerings provided by Arctic Butterfly Coaching & Consulting, LLC ("Arctic Butterfly," "we," "us," or "our"). By accessing our Sites or enrolling in any program or service, you agree to be bound by these Terms.
If you do not agree with any part of these Terms, you may not access or use our Sites or services.
1. Services Offered
Arctic Butterfly Coaching & Consulting offers the following services and products, which may be updated from time to time:
One-on-one executive coaching and leadership coaching
Group coaching programs, including the GRACE Leadership Lab
Digital products, worksheets, toolkits, and lead magnets
Community membership (SiSTEM Circle on Mighty Networks)
Virtual and in-person workshops, keynotes, and Leadership Labs
Assessments and quizzes, including the Give-a-Damn Meter™
2. Eligibility
By using our Sites or purchasing any service, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms. Our services are intended for professional and personal development purposes.
3. Purchases and Payments
A. Payment
Payment for programs and services is due at the time of purchase unless a payment plan has been expressly agreed upon. We use Stripe to process payments. By submitting payment, you authorize us to charge the amount agreed upon to your payment method.
B. Payment Plans
If you enroll in a payment plan, you are committing to the full amount of the program. Failure to complete payments does not entitle you to a refund of amounts already paid, nor does it remove your obligation to complete remaining installments. Access to program materials may be suspended for missed payments.
C. Chargebacks
Initiating a chargeback instead of contacting us to resolve a dispute is considered a breach of these Terms. We reserve the right to pursue collection of disputed amounts and to ban future access to our programs and community in the event of a fraudulent chargeback.
4. Refund Policy
Digital Products and Lead Magnets
Due to the immediate and digital nature of downloads, quizzes, worksheets, and toolkits, all sales of digital products are final. No refunds will be issued.
Coaching Programs and Group Cohorts
Because of the limited enrollment, curated nature, and the investment of preparation time, enrollment fees for the GRACE Leadership Lab and other group coaching cohorts are non-refundable once access to program materials has been granted or the program has commenced.
If you are unable to participate after enrolling but before the program begins, you may request a credit toward a future cohort, at our sole discretion, provided you notify us in writing at least 7 days before the program start date.
One-on-One Coaching
Coaching packages are non-refundable once sessions have commenced. If you wish to cancel before your first session, please contact us within 48 hours of purchase for a full refund consideration.
Community Membership (SiSTEM Circle)
Monthly memberships may be cancelled at any time; cancellation takes effect at the end of the current billing cycle. Annual memberships are non-refundable.
5. Coaching Disclaimer
Coaching is not therapy, counseling, mental health treatment, financial advice, or legal advice. The coaching services provided by Arctic Butterfly Coaching & Consulting are designed to support your professional and personal development through strategic thinking, goal-setting, and accountability.
Results from coaching vary by individual. We do not guarantee specific career outcomes, promotions, salary increases, or other measurable results. Your outcomes depend substantially on your own effort, engagement, and circumstances.
If you are experiencing a mental health crisis or require clinical support, please seek assistance from a licensed mental health professional.
6. Intellectual Property
Our Content
All content on our Sites and within our programs—including but not limited to written materials, frameworks, worksheets, slide decks, course content, videos, audio recordings, assessments, and brand assets—is the exclusive intellectual property of Arctic Butterfly Coaching & Consulting, LLC or its licensors. This includes all proprietary frameworks: Give-a-Damn Meter™, G.R.A.C.E., Win Wall™, S.T.E.A.D.Y., and related materials.
You may not reproduce, distribute, republish, sell, sublicense, modify, or create derivative works from our content without our prior written consent.
Your License
Upon purchase, you are granted a limited, non-exclusive, non-transferable license to access and use program materials for your own personal and professional development. This license does not permit sharing login credentials, forwarding program content, or using materials for commercial purposes.
Your Submissions
Any content you submit within our community platforms or coaching sessions remains yours. By participating, you grant Arctic Butterfly a limited license to use anonymized insights or general themes (never personal identifying information) to improve our programs or create educational content.
7. Community Standards (SiSTEM Circle)
Participation in the SiSTEM Circle community requires adherence to our Community Guidelines. Members are expected to:
Engage with respect, honesty, and a spirit of mutual support
Maintain confidentiality of what other members share within the community
Refrain from soliciting, spamming, or promoting outside products or services without permission
Avoid harassment, discrimination, or conduct that creates an unsafe environment
We reserve the right to remove any member from the community for violations of these standards, without refund.
8. Confidentiality
The content shared within coaching sessions and group programs is confidential. Members and clients agree not to share the specific content of coaching conversations, personal disclosures made by other participants, or proprietary program materials outside of the program context.
9. Disclaimer of Warranties
Our Sites and services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our Sites will be uninterrupted, error-free, or free of viruses or other harmful components.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Arctic Butterfly Coaching & Consulting, LLC, its founders, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Sites, programs, or services—including but not limited to loss of profits, data, or business opportunities—even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising from or related to these Terms or our services shall not exceed the amount you paid to us in the three (3) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Arctic Butterfly Coaching & Consulting, LLC and its officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Alaska, without regard to its conflict of law principles.
Any disputes arising under or in connection with these Terms shall first be subject to good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Anchorage, Alaska, under the rules of the American Arbitration Association, unless both parties agree otherwise in writing.
13. Modifications to Terms
We reserve the right to update or modify these Terms at any time. Updated Terms will be posted on our Sites with a revised effective date. Your continued use of our Sites or services after changes are posted constitutes your acceptance of the revised Terms.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
15. Entire Agreement
These Terms, together with our Privacy Policy and any program-specific agreements, constitute the entire agreement between you and Arctic Butterfly Coaching & Consulting with respect to your use of our Sites and services, and supersede all prior agreements or understandings.
